What is changing for companies

Short updates on company formation, the Commercial Register and registered office rules in Slovakia.

Commercial Register data is now legally binding

Data published in the online Commercial Register no longer has to be proven to authorities or business partners, so it is worth checking that your entry is up to date.

The new Commercial Register Act, in force since 17 August 2026, made data published online legally binding. You can now use the online extract, for example, with your bank or in public procurement.

The flip side is that outdated data, such as an old office address or a former managing director, can cause problems. We recommend checking:

  • your registered office address and that you actually receive mail there,
  • managing directors and shareholders, including their addresses,
  • your registered business activities.

Another new feature is company name reservation. For a €50 fee you can reserve the name of your future company for 60 days.

Share transfers and amendments now require a notary or lawyer

Since 17 August 2026, a certified signature is no longer enough for most changes in an s.r.o. The document must be a notarial deed or be authorised by a lawyer.

The stricter form applies mainly to:

  • business share transfer agreements,
  • amendments to the articles of association,
  • share capital increases or decreases that change the ratio of shares.

Existing companies do not need to file anything new, as their entries remain valid. The restriction on chaining single-member companies has also been abolished.

If a document has the wrong form, for example a share transfer agreement with only certified signatures, it has to be drawn up again, which makes the change slower and more expensive. That is why it pays to leave the documents to professionals who know the new rules. We handle company changes from €600.

Forming an s.r.o. under the new Commercial Register Act

Founding documents must now be a notarial deed or authorised by a lawyer. The court registration fee remains €220.

A new Commercial Register Act has been in force since 17 August 2026. In a standard s.r.o. formation, signing the articles of association at home with a certified signature is no longer enough.

  • The articles of association or deed of foundation must be a notarial deed or authorised by a lawyer.
  • The application is filed electronically with the registry court or with a notary.
  • A notary cannot register a company whose documents they prepared.
  • Once filed, an application can no longer be withdrawn. If it is defective, the registry court rejects it, while a notary acting as registrar asks for the defects to be fixed within 15 days.

We form an s.r.o. for €800. We prepare all documents, you sign them at a notary and we take care of the rest.
